Terms of Service for Memoryca

1. Acceptance of Terms

By creating an account or otherwise using the "Memoryca" application, website and related services (together: the "App"), you confirm that you have read, understood and accepted these Terms of Service ("Terms"), the Privacy Policy, and any additional rules published inside the App (e.g. event rules, reward rules, moderation rules), all of which form part of these Terms.

If you do NOT agree with any provision, you have NO right to use the App and must stop using it immediately.

These Terms constitute the entire agreement between you and us regarding the App and supersede all prior statements, marketing materials or promises.

2. App Description

Memoryca is a gamified entertainment platform that allows users to:

• Complete tasks (usually with photo proof)
• Earn points, badges, levels, ranks and titles
• Compete on solo and team leaderboards
• Create their own tasks and tasks for friends
• Join teams and guilds, chat, and take part in guild territory battles
• Open reward boxes / mystery chests, collect cosmetic items (auras, borders, backgrounds, titles) and manage an inventory
• Watch optional advertisements to receive spendable points
• Redeem rewards for collected points
• Invite friends via link or QR code and receive referral bonuses

Memoryca is a game. All in-app content is provided for entertainment purposes only. Nothing in the App is advice (legal, medical, financial, safety, travel or otherwise), and no result, outcome, ranking, reward or availability is guaranteed.

3. User Account

3.1. Registration

• Registration is required to use the App
• You must provide accurate and complete information during registration and keep it up to date
• You are responsible for the confidentiality of your login credentials
• Accounts are personal, non-transferable and may not be sold, rented, shared or traded

3.2. Prohibition of multiple accounts

• It is PROHIBITED to have more than one user account
• Detection of multiple accounts may result in permanent ban of all accounts and forfeiture of all points, items and rewards without compensation

3.3. Account responsibility

• You are responsible for all activities that occur under your account
• If you suspect unauthorized access to your account, contact us immediately

4. Age Restriction

• The App is NOT intended for persons under 13 years of age
• By registering, you confirm that you are at least 13 years old and legally capable of entering into these Terms
• For users aged 13-18, use is permitted only with the consent and supervision of a parent or legal guardian, who accepts these Terms on the minor's behalf

5. Code of Conduct

By using the App, you agree NOT to:

• Post inappropriate content — photos, chat messages, guild/team names, task titles or descriptions that are violent, sexual, hateful, discriminatory, defamatory, offensive, misleading or illegal
• Harass, bully, threaten, dox or spam other users — in tasks, comments, chat, guild chat or private messages
• Cheat or attempt to cheat — false or recycled task proof, AI-generated or downloaded photos presented as your own proof, GPS spoofing / fake location, emulators, bots, macros, automation, exploits, ad-fraud, or abuse of bugs (bugs must be reported, not exploited)
• Manipulate the economy — real-money trading of points, items or accounts, collusion, multi-accounting, or artificial farming of points, referrals, ad rewards or territory objectives
• Infringe rights of others — copyright, trademark, privacy or image rights (do not upload photos of other people without their consent)
• Interfere with the App — attacking, overloading, probing or circumventing our security, rate limits or access controls

Violation may result, at our sole discretion and without prior notice, in:

1. Content removal, chat mute or feature restriction
2. Reversal of points, items, badges, titles, ranks or territory gains
3. Temporary or permanent account ban, with forfeiture of all balances and no refund
4. Reporting to competent authorities (in case of suspected criminal offenses)

Moderation decisions are made at our discretion. We are not obliged to disclose detection methods or evidence.

6. Real-World Safety (Important)

• Some tasks may encourage you to go outside, visit locations, or be physically active. You participate entirely at your own risk.
• Always obey applicable law, traffic rules, property rights and local restrictions. Never trespass, never endanger yourself or others, never use the App while driving.
• Do not attempt any task that is dangerous, illegal or beyond your physical ability. Use common sense; nothing in the App overrides it.
• User-created tasks are user content. We do not pre-verify their safety, legality or accuracy, even where an approval step exists.
• To the maximum extent permitted by law, we are NOT liable for any injury, death, illness, property damage, fines, arrest or loss arising from your real-world activity related to the App.

7. User Content (Photos, Chat, Tasks)

7.1. Your ownership

You retain all ownership rights to the content you upload.

7.2. License to Memoryca

By uploading content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (technically, e.g. resizing), and display your content within the App for the purpose of operating the service. Use of your content for promotional purposes (social media, website, ads) occurs only with the separate consent you may give in the App.

7.3. Your warranties

You warrant that you own or have all necessary rights and consents to the content you upload, and that it does not violate any law or third-party right. You will indemnify us against any claim arising from your content (see section 16).

7.4. Public visibility

• Photos submitted as task proof, as well as profile data, badges, levels, guild and leaderboard positions, may be visible to other users
• Although downloading is restricted in the interface, we cannot technically prevent screenshots or copying by other users; do not upload anything you would not want shared

7.5. Content removal

We may remove, hide or refuse any user content at any time, for any reason, without notice or liability. We have no obligation to store, back up or return your content.

8. Points, Badges, Levels and Virtual Items

• Points for tasks are awarded ONLY after admin approval; approval is discretionary and may be refused or reversed
• Spendable points (earned from optional ads, reward boxes or bonuses) do NOT affect leaderboard, level or rank — they are used for reward redemption, cosmetics, task creation and in-game features such as guild/territory actions
• Points, badges, titles, cosmetics, chests, inventory items and territory holdings are revocable licenses to use virtual items, not your property, not money, not e-money, not a security, and have no real-world value. They cannot be cashed out, transferred outside the App, inherited or exchanged for money
• Reward boxes / mystery chests are randomized; drop rates and outcomes are determined by us and may change. Nothing is guaranteed to drop
• We may change, rebalance, devalue, expire or remove any point value, price, drop rate, item, badge, rank, title, cooldown or game rule at any time, including for balancing or anti-abuse reasons
• Rewards are redeemed based on the currently valid price list, subject to availability and any partner conditions
• Balances and virtual items are forfeited without compensation upon account deletion, ban or termination of the service

9. Advertising

• Watching advertisements is optional; ad rewards are subject to cooldowns, daily caps and anti-fraud checks
• Ads may be served by third parties; we are not responsible for their content, links or products
• Skipping, blocking, spoofing or automating ad playback voids the reward and may result in sanctions

10. Creating Your Own Tasks

• Unlocked after meeting the in-app requirements (e.g. badge thresholds), which may change
• Costs spendable points (NOT real money); costs may change
• Daily limits apply to prevent abuse
• Tasks may undergo admin review; approval, rejection, editing, archiving or deletion is at our discretion and point costs are non-refundable
• Friends tasks are visible only to selected friends and may require approval
• You are solely responsible for the tasks you publish, including their safety and legality

11. Teams, Guilds, Chat and Territory Battles

• Teams, guilds, turf zones (monthly, based on approved tasks) and guild territory battles are competitive game features whose rules, costs, cooldowns, adjacency/safety rules, power calculations and reset schedules may change at any time
• Guild owners/admins are responsible for their guild's name, image, description and member conduct; we may rename, disband or transfer guilds that violate these Terms
• Chat and guild chat are public or semi-public. Messages may be logged, moderated, filtered and retained for safety purposes
• Points, zones, hexes, bases, towers and objectives may be reset, recalculated, rolled back or removed, including after seasons, resets, bugs or anti-abuse action, without compensation
• Location-based features rely on device GPS and third-party data; accuracy is not guaranteed. Spoofing location is a bannable offense

12. Referrals

• Referral bonuses are awarded when an invited user reaches defined milestones (currently Level 2, 5 and 10), once per referred user
• Self-referrals, fake accounts, incentivized spam or any manipulation void all bonuses and may result in a ban
• Referral amounts and conditions may change or be discontinued at any time

13. Notifications and Communications

• By using the App you agree to receive service-related in-app notifications, push notifications (if enabled by you) and transactional emails
• Marketing emails can be unsubscribed at any time; service and legal notices cannot
• Delivery of notifications depends on your device, browser and third-party services and is not guaranteed

14. Account Deletion and Data

• You can delete your account at any time via Profile → Settings → "Delete my account", or by emailing MemorycaSupport@gmail.com
• Deletion permanently removes your personal data as described in the Privacy Policy: profile, points, badges, task history, photos and notifications
• Deletion is irreversible and forfeits all points, items and territory without compensation
• Certain data may be retained where required by law, for fraud prevention, accounting or dispute resolution, and anonymized/aggregated data may be retained indefinitely

15. Disclaimer and Limitation of Liability

15.1. App provided "AS IS"

• The App is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy or non-infringement, to the maximum extent permitted by law
• We do not guarantee that the App will be error-free, secure, uninterrupted, or compatible with all devices, browsers or operating systems
• We may modify, suspend, limit or discontinue the App, any feature, season or the whole service at any time, without notice and without liability

15.2. Limitation of liability

To the maximum extent permitted by applicable law, Memoryca, its owners, employees and partners are NOT liable for:

• Any indirect, incidental, special, punitive or consequential damages, loss of profit, loss of data, loss of goodwill or loss of virtual items/points
• Damage caused by using or being unable to use the App, downtime, bugs, resets, rollbacks or moderation decisions
• Acts, content or omissions of other users, guilds, advertisers or third-party services
• Real-world activities undertaken in connection with tasks (see section 6)
• Physical rewards (quality, availability, delivery, taxes) — these are provided by the reward giver/sponsor, who is solely responsible for them
• Events beyond our reasonable control (force majeure, outages of hosting, database or ad providers)

15.3. Maximum liability

Our total aggregate liability for any and all claims is limited to EUR 50.

15.4. Consumer rights

Nothing in these Terms excludes or limits liability that cannot be excluded under mandatory law (including liability for death or personal injury caused by our gross negligence or intent), nor your mandatory statutory consumer rights.

15.5. Indemnity

You agree to indemnify and hold harmless Memoryca, its owners, employees and partners from any claim, damage, loss, fine or cost (including reasonable legal fees) arising from your content, your use of the App, your real-world conduct, or your breach of these Terms or of any law or third-party right.

16. Intellectual Property

• All intellectual property rights in the App, its source code, design, artwork, cosmetics, logos, name ("Memoryca") and content belong exclusively to us or our licensors
• It is PROHIBITED to:
  • Copy, modify, distribute, sell or create derivative works from any part of the App
  • Reverse engineer, decompile, or attempt to discover source code, APIs or game logic
  • Use the name "Memoryca" or our branding without our written consent
• If you send us feedback, ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without compensation or attribution

17. Prohibition of Automated Data Collection

• It is PROHIBITED to use bots, spiders, scrapers, headless browsers, unauthorized API clients or other automated tools to access or collect data from the App, or to use App data for training machine-learning models
• Violation may result in immediate ban and legal action

18. Termination

• We may suspend or terminate your access to the App at any time, with or without notice:
  • If you violate these Terms
  • If there is suspicion of fraud, cheating or abuse
  • If necessary to protect other users, our systems or our legal interests
• In case of termination, you have NO right to any points, items or territory
• Sections that by their nature should survive (content license, disclaimers, limitation of liability, indemnity, IP, governing law) survive termination

19. Applicable Law and Dispute Resolution

• These Terms are governed by the laws of the Republic of Croatia, excluding conflict-of-law rules
• Before starting any formal proceeding, you agree to contact us and attempt to resolve the dispute amicably within 30 days
• Any disputes shall be subject to the jurisdiction of the competent court in Split, Croatia, unless mandatory consumer law grants you the right to sue in your place of residence
• Claims must be brought individually; class or collective actions are excluded to the extent permitted by law
• Consumers may use the EU online dispute resolution platform: https://ec.europa.eu/consumers/odr/

20. Changes to Terms

• We may change these Terms at any time; the "Last updated" date will reflect the change
• Significant changes will be announced via in-app notification or email
• Continued use of the App after changes constitutes acceptance of the new Terms. If you disagree, stop using the App and delete your account

21. Miscellaneous

• Severability: if any provision is found invalid, the rest remains in full force and the invalid part is replaced by the closest valid equivalent
• No waiver: our failure to enforce any provision is not a waiver of it
• Assignment: you may not assign these Terms; we may assign them to a successor or affiliate
• Language: the English version prevails in case of discrepancies with translations
